1. Description of Services; Limitations; User Responsibilities

1.1 About Our Services

BondiMatch.com is an online platform designed to help users find, connect with, and coordinate childcare services (for example, matching families with nannies). Through our Site, Nanny Seekers can post descriptions of their childcare needs, search for and communicate with Nanny Providers; likewise, Nanny Providers can create profiles describing their services and qualifications, search for job postings, and communicate with potential employers. BondiMatch may also provide additional tools and resources to facilitate informed hiring decisions, such as messaging systems, scheduling tools, or links to third-party background check services.

Except as expressly provided in these Terms or other policies on our Site, BondiMatch's role is solely to facilitate the availability of the platform for Nanny Seekers and Nanny Providers to connect. BondiMatch is not a party to any agreements made between users. Any arrangements (for example, hiring, employment terms, payments) are solely between the Nanny Seeker and the Nanny Provider. BondiMatch does not guarantee that users will find suitable care or employment through our Services, nor do we guarantee the availability, suitability, or quality of any Nanny Provider or job posting.

1.2 Limitations of Our Services

BondiMatch strives to provide a useful platform, but there are important limitations to understand:

1.3 User Responsibilities

You are solely responsible for your use of the Site and Services and for any consequences thereof. Nanny Seekers and Nanny Providers each bear full responsibility for making informed decisions and safeguarding their own safety and property when interacting with other users. Specifically, Registered Users are solely responsible for interviewing, vetting, performing background and reference checks on, and selecting an appropriate Nanny Provider or Nanny Seeker for themselves or their family. BondiMatch does not conduct these activities on your behalf (unless explicitly offered as a separate service, and even then, the ultimate hiring decisions and due diligence remain with you).

By using BondiMatch, you acknowledge that BondiMatch does not supervise, direct, or control a Nanny Provider's work or a Nanny Seeker's hiring process, and you agree that you are responsible for your own decisions and assume all risks arising from your interactions via the Site.

2. Eligibility to Use the Site and Services

BondiMatch is intended for use by individuals 18 years of age or older who can form legally binding contracts under applicable law. By requesting to use, registering on, or using our Site or Services, you represent and warrant that you meet all of the following eligibility criteria:

• Age: You are 18 years of age or older. The Site is not intended for use by anyone under the age of 18. If you are under 18, or otherwise legally a minor, you may not register or use the BondiMatch platform. BondiMatch will terminate any accounts found to be used by underage persons (see Section 10).
• Legal Capacity: You have the right, authority, and capacity to enter into this Agreement and to abide by all of its terms and conditions. If you are registering on behalf of an organization (such as a family trust or other entity), you have the authority to bind that entity to these Terms.
• Purpose of Use: You will use the Site and Services solely for the purpose of finding or offering childcare services, or sharing information related to caregiving. You agree not to use the Site for any other commercial, agency, or competitive purposes related or unrelated to caregiving.
• Residency: The Site and Services are currently available only to individuals who are legally residing in the United States. (BondiMatch primarily serves users in Connecticut, USA, but may be accessible to users in other states.) You affirm that you are legally residing within the U.S. If you are not, you may not use our U.S. Site.
• Work Authorization (for Nanny Providers): If you are registering as a Nanny Provider, you must be legally authorized to work in the United States. Nanny Seekers are responsible for verifying a Nanny Provider's identity, work authorization and eligibility to work in the U.S. before hiring.
• No Disqualifying Criminal History: You and any adult household member (if you are a Nanny Seeker) have never been convicted of or pled guilty/no contest to a felony or any criminal offense involving violence, abuse, neglect, fraud, theft, drugs, or sexual misconduct, and you are not required to register as a sex offender with any government authority. You also have not been subject to any court order (e.g., restraining order) involving violence, abuse, fraud, or any conduct that would pose a risk to others. BondiMatch reserves the right (but has no obligation) to conduct background checks on users to verify these representations.
• No Competing or Unauthorized Use: You are not using the Site for competitive research or to establish a competing service. You are not an agent or employee of any company that provides caregiver matching services, unless you have disclosed that to BondiMatch and obtained our consent. (Use of the Site by any businesses or agencies may be subject to separate agreements.)

If you do not meet the above criteria, you are not eligible to use BondiMatch. BondiMatch may refuse access to the Services, or terminate the accounts, of any users who do not meet these eligibility requirements or who make false representations about their eligibility.

3. Rules for User Conduct and Use of Services

By using our Site or Services, you agree to abide by the following rules and standards of conduct. These rules apply to all content you submit on the Site and all interactions you have with other users or with BondiMatch through the Site.

3.1 Registration and Account Use

Account Registration: To access certain features of the Site (such as messaging or posting jobs/profiles), you may be required to create a BondiMatch account. You agree to provide accurate, current, and complete information during registration and at all other times when using the Site, and to update your information as needed to keep it accurate and current. You will register your account in your own legal name, not under an alias or someone else's name, even if you are seeking care for a family member.

Exclusive Use: You may not transfer or share your BondiMatch account with any other person or entity. Your account is for your personal use only. If you are a Nanny Seeker, you agree to use the Site only to find care for yourself or your family/household members. If you are a Nanny Provider, you agree to use the Site only to find employment opportunities for yourself.

3.2 Content Restrictions and Community Guidelines

The term "Content" refers to any information, material, or media you upload, post, send, or transmit on or through BondiMatch. You are solely responsible for all Content you contribute to the Site, and you agree that all Content must be relevant to the purpose of finding or offering childcare services.

3.3 Prohibited Uses

You agree that you will not engage in harassment, fraudulent use, commercial solicitation outside the platform, interference with service, automated access and scraping, or any other activities that violate these Terms or applicable laws.

4. Background and Verification Checks

BondiMatch does not automatically conduct full background checks on users. However, we may offer or facilitate certain background check services or identity verification processes through third-party agencies. Any such checks are performed by independent third parties and require consent from the person being checked.

5. Termination

BondiMatch reserves the right to suspend or terminate your access to the Site and Services at any time, for any reason or no reason, at our sole discretion, with or without prior notice. This includes termination for violations of these Terms, false representations, or inappropriate conduct.

6. Privacy

Your privacy is important to us. Our Privacy Policy describes how we collect, use, store, and disclose your personal information. By using the Site or Services, you consent to the collection and use of your information as outlined in the Privacy Policy.

7. Links to External Sites

The Site may contain links to third-party websites or resources. These links are provided for your convenience only. BondiMatch does not endorse and is not responsible or liable for any third-party sites or content.

8. Payment and Subscription Terms

BondiMatch may offer certain premium Services or features that require payment. All fees are stated in U.S. dollars and do not include applicable taxes. Subscriptions will automatically renew unless canceled.

9. Release of Liability for Conduct and Disputes

IMPORTANT LIABILITY RELEASE

By using the BondiMatch Site or Services, you expressly agree to release BondiMatch and its affiliates from any and all liability, claims, demands, or damages arising out of or in any way connected with any user's conduct or any disputes between users. You acknowledge that BondiMatch does not supervise or approve interactions between users and cannot be held responsible for any outcome thereof.

10. Age Restrictions

BondiMatch is intended only for adults 18 years of age or older. We do not knowingly allow minors to register or use the Services. If we become aware that any user is under 18, we will terminate that account promptly.

11. Disclaimers; Limitations of Liability; Assumption of Risk; Indemnification

11.1 No Warranty

THE BONDIMATCH SITE AND SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE" WITHOUT ANY WARRANTY OF ANY KIND.

11.2 Assumption of Risk

Using an online platform to arrange in-person childcare services carries inherent risks. You acknowledge and agree that you assume all risks arising from your use of the Site and Services and any interaction you have with other users.

11.3 Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, BONDIMATCH SHALL NOT BE LIABLE FOR ANY INDIRECT, SPECIAL, CONSEQUENTIAL, INCIDENTAL, PUNITIVE, OR EXEMPLARY DAMAGES.

11.4 Indemnification

You agree to indemnify, defend, and hold harmless BondiMatch and its affiliates from and against any claims arising out of your Content, your use of the Site in violation of these Terms, or any relationship between you and other users.

12. Copyright Notices and DMCA Complaints

BondiMatch respects intellectual property rights. If you believe material on our Site infringes your copyright, you may send us a written DMCA notification with required information including identification of the copyrighted work and infringing material.

13. Dispute Resolution and Arbitration Agreement

13.1 Agreement to Arbitrate

Except for certain exceptions, you and BondiMatch agree that any dispute will be resolved exclusively through final and binding arbitration, not in court. This agreement is intended to be broadly interpreted.

13.2 Class Action Waiver

You and BondiMatch agree that any proceedings will be conducted solely on an individual basis. Neither party will seek class action, representative action, or collective action status.

13.7 Opt-Out Procedure

If you do not wish to be bound by the Arbitration Agreement, you must send a written Opt-Out Notice via U.S. Mail within 30 days after first accepting these Terms. The notice must include your name, account email, mailing address, and a clear statement that you wish to opt out.

14. Governing Law and Jurisdiction

The laws of the State of Connecticut, U.S.A., without regard to conflict of laws principles, shall govern these Terms. Any non-arbitrated claims shall be brought exclusively in Connecticut state or federal courts.

15. Consent to Electronic Communications

By using the Site, you consent to receive communications from BondiMatch electronically, including via email, text message, or notices posted on our Site.

16. Miscellaneous

These Terms, together with the Privacy Policy, constitute the entire agreement between you and BondiMatch. BondiMatch may freely assign this Agreement, but you may not without our consent.

17. Severability

If any provision of these Terms is found invalid or unenforceable, that provision shall be modified to the minimum extent necessary to render it valid, and the remaining provisions shall remain in full force and effect.
